1. Introduction and AcceptanceWelcome to GospelGram. These Terms of Service ("Terms") govern your access to and use of the GospelGram platform, including our website at www.gospelgram.com, our mobile applications (collectively, the "Platform"), and any related services (together with the Platform, the "Service").The Service is operated by Theodoxia LLC ("GospelGram," "we," "us," or "our"), a Delaware limited liability company. By creating an account, making or receiving a donation, or otherwise using the Service, you ("you" or "User") agree to be bound by these Terms and our Privacy Policy.If you do not agree to these Terms, you may not use the Service.2. What GospelGram IsGospelGram is a social discovery and giving platform that connects donors with verified Christian missionaries and mission organizations. The Service allows Users to:Discover and follow verified missionaries worldwideShare content including posts, photos, videos, and updatesMake voluntary, one-time or recurring donations directly to individual missionariesIf affiliated with a participating organization, be verified as a fundraising missionaryGospelGram is a platform facilitator, not a charity, church, or tax-exempt organization. GospelGram does not solicit donations on its own behalf and does not hold, custody, manage, or control donor funds.3. Eligibility and Accounts3.1 Minimum AgeYou must be at least 13 years old to create an account. Users under 18 must have parental or legal guardian consent.3.2 Account AccuracyYou agree to provide accurate, current, and complete information when creating your account and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.3.3 Account TypesThe Service supports several account types:Donor/Member accounts — Can browse, follow, post, and give. Cannot receive donations unless verified.Verified Missionary accounts — Users who have been approved by a participating verified organization and may receive donations through the Service.Verified Organization accounts — Christian organizations, churches, or ministries that verify individual missionaries.4. Donations and Money FlowThis section is critically important. Please read it carefully.4.1 Direct Person-to-Person GivingAll donations made through the Service flow directly from the donor to the recipient missionary's own payment account via Stripe Connect. Theodoxia LLC does not receive, hold, custody, or control donor funds at any point. Theodoxia LLC is not a party to any donation transaction and is not a payee, beneficiary, trustee, or intermediary.4.2 No Consideration for DonationsDonations made through the Service are voluntary personal gifts. Donors do not receive any goods, services, rewards, perks, badges, unlocks, exclusive content, membership status, or other consideration in exchange for their donations. Recipients have no obligation to provide anything to donors in return for a donation.4.3 Donations Are Not Tax-DeductibleDonations made through GospelGram are personal gifts to individual recipients and are NOT tax-deductible as charitable contributions. Theodoxia LLC is not a charity, church, or tax-exempt organization. Donors should consult a qualified tax professional for specific tax advice. Theodoxia LLC makes no representations regarding the tax treatment of any donation.4.4 Recurring DonationsDonors may elect to schedule recurring donations on a monthly or annual basis. You may modify or cancel any recurring donation at any time through the in-app giving management screen, which will stop all future charges. Cancellation does not refund prior donations.4.5 Voluntary Platform ContributionsAt checkout, donors may optionally add a separate, voluntary contribution to Theodoxia LLC to help operate the Platform. This contribution:Is transparently shown as a separate line itemIs pre-selected at a suggested amount as a convenience, but can be modified or removed with a single tap before completing the donationIs added on top of the donation amount and is never deducted from the missionary's donationSupports the operation, development, and maintenance of the ServicePlatform contributions are separate from donations and are payments to Theodoxia LLC. They are not donations to any missionary or charitable organization and are not tax-deductible.4.6 Payment Processing and FeesAll payments are processed by Stripe, Inc. ("Stripe"). Stripe charges processing fees for each transaction, which are deducted from the recipient missionary's payout in accordance with Stripe's terms. Theodoxia LLC does not add any additional fee to the missionary beyond Stripe's standard processing fees.4.7 RefundsBecause Theodoxia LLC does not hold donation funds, refunds are handled directly between the donor, the recipient missionary, and Stripe. A donor may request a refund by contacting support@gospelgram.com, and Theodoxia LLC will facilitate the request in good faith. Theodoxia LLC has no obligation to issue refunds and is not liable for the recipient's inability or refusal to return funds.Platform contributions paid to Theodoxia LLC may be refunded at Theodoxia LLC's discretion for a period of 30 days following the contribution.4.8 Chargebacks and DisputesIf a donor initiates a chargeback or payment dispute, Stripe's standard dispute resolution process applies. Recipient missionaries are solely responsible for chargebacks filed against their donations. Theodoxia LLC may suspend or terminate any account with excessive chargebacks or evidence of fraudulent activity.5. Verification and Fundraising5.1 Verification RequirementOnly Users who have been verified through a participating Christian organization may receive donations through the Service. Verification is not automatic and is subject to approval.5.2 Verification Is a Trust Signal, Not a GuaranteeVerification indicates that an affiliated Christian organization has confirmed a Missionary's identity and association. Verification is NOT a guarantee of the missionary's conduct, use of funds, theological orthodoxy, or any specific outcome. Donors should exercise their own judgment before giving.5.3 Privacy TiersVerified Missionaries may be placed into one of three visibility tiers by their verifying organization:Public — Full verification details are displayed publicly.Private — Verification is acknowledged; specific details are shown only on request.Under His Shadow — Account exists but is not publicly searchable or discoverable, intended for missionaries operating in regions where public identification poses safety risks.5.4 Missionary ResponsibilitiesVerified Missionaries agree to:Use donated funds for the purposes represented on their profile and fundraiser pagesKeep donors reasonably informed through posts and updatesNot misrepresent themselves, their work, their organization, or their fundraising purposeComply with all applicable local, state, federal, and international laws, including tax reporting obligationsRespond in good faith to questions or concerns from donors or GospelGram staff5.5 Organization ResponsibilitiesVerified Organizations agree to:Maintain truthful records of their affiliation with verified missionariesPromptly notify GospelGram if a verified missionary is no longer affiliated with themCooperate reasonably with GospelGram regarding verification status, disputes, or fraud investigations5.6 Revocation of VerificationTheodoxia LLC may revoke verification at any time, with or without cause, including if the verifying organization withdraws its affiliation, if the missionary violates these Terms, or if Theodoxia LLC has reasonable concerns about fraud or misconduct. Verified missionaries whose verification is revoked will immediately lose the ability to receive new donations.6. User Content6.1 OwnershipYou retain ownership of the content you post to the Service ("User Content").6.2 License You Grant UsBy posting User Content, you grant Theodoxia LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, reproduce, modify, display, distribute, and publicly perform your User Content in connection with operating, promoting, and improving the Service. This license survives your termination for content you have already shared publicly through the Service.6.3 Your RepresentationsYou represent and warrant that:You own or have the necessary rights to the User Content you postYour User Content does not violate any law, contract, or third-party rightYou have obtained all necessary permissions and releases from any identifiable people in your contentYour content is truthful and not misleading6.4 Prohibited ContentYou may not post content that:Is unlawful, defamatory, fraudulent, deceptive, obscene, pornographic, or sexually explicitExploits, endangers, or sexualizes minorsIncites violence, harassment, or hatred based on race, ethnicity, religion, gender, sexual orientation, disability, or national originInfringes intellectual property rightsContains malware, viruses, or malicious codeImpersonates any person or organizationSolicits payment or donations outside of GospelGram's donation system (including payment handles, external payment links, or requests for off-platform giving)Makes false claims about missionary status, organizational affiliation, or verificationViolates the privacy of any personSpams, phishes, or otherwise abuses other UsersIs intended to manipulate the Service's discovery or recommendation systems7. Moderation and Enforcement7.1 Our Right to ModerateTheodoxia LLC may, at its sole discretion and without prior notice, remove any content, suspend or terminate any account, restrict Service access, or take any other action it deems appropriate to enforce these Terms, comply with applicable law, or protect the Service and its Users.7.2 Reporting ViolationsYou may report suspected violations, including fraudulent fundraising, through the in-app "Report" function or by emailing support@gospelgram.com. We review all reports in good faith but do not guarantee any specific outcome.7.3 AppealsIf your account is suspended or content is removed, you may appeal by emailing support@gospelgram.com with a brief explanation of the circumstances. We will consider appeals in good faith.8. Intellectual Property8.1 Our Intellectual PropertyThe Service, including its design, logos, branding, code, and original content, is owned by Theodoxia LLC and is protected by copyright, trademark, and other intellectual property laws. The name "GospelGram," the GospelGram logo, and any related marks are the trademarks of Theodoxia LLC.8.2 FeedbackIf you submit feedback, suggestions, or ideas about the Service, you grant Theodoxia LLC a royalty-free, irrevocable, perpetual license to use them without compensation or obligation to you.9. PrivacyOur collection and use of personal data is governed by our Privacy Policy, available at www.gospelgram.com/privacy. By using the Service, you consent to our data practices as described there.10. Third-Party ServicesThe Service integrates with third-party services, including Stripe (payment processing), Supabase (data infrastructure), and others. Your use of those services is subject to their own terms and privacy policies. Theodoxia LLC is not responsible for the acts or omissions of third-party providers.11. Termination11.1 By YouYou may terminate your account at any time through the in-app account deletion flow or by emailing support@gospelgram.com. Upon termination, your profile, posts, and data will be deleted in accordance with our Privacy Policy, subject to certain records we are required to retain for legal, tax, or fraud-prevention purposes.11.2 By UsWe may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraud or unlawful conduct, created risk for us or other Users, or for any other reason at our sole discretion.11.3 Effect of TerminationUpon termination, your right to use the Service ends immediately. Provisions of these Terms that by their nature should survive termination (including sections on Donations, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) will survive.12. Disclaimers12.1 Service Provided "As Is"THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED SERVICE.12.2 No Warranty Regarding UsersWe do not warrant the identity, truthfulness, or conduct of any User, including verified missionaries. Verification is a trust signal; it is not a guarantee. Donors rely on the conduct and representations of missionaries at their own risk.12.3 No Warranty of OutcomeWe make no warranty that any donation will be used as represented, that any fundraising goal will be met, or that any particular outcome will result from your use of the Service.13. Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY LAW, THEODOXIA LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE TOTAL AMOUNT OF PLATFORM CONTRIBUTIONS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
WE ARE NOT LIABLE FOR ANY LOST, MISUSED, OR MISAPPROPRIATED DONATIONS. DONATIONS FLOW DIRECTLY BETWEEN DONOR AND RECIPIENT; WE DO NOT HOLD THE FUNDS AND ARE NOT RESPONSIBLE FOR THEIR USE.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.14. IndemnificationYou agree to indemnify, defend, and hold harmless Theodoxia LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:Your use of the ServiceYour User ContentYour breach of these TermsYour violation of any law or third-party rightFor verified missionaries: your fundraising representations and use of donated funds15. Dispute Resolution15.1 Governing LawThese Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.15.2 Informal Resolution FirstBefore filing any formal claim, you agree to contact us at support@gospelgram.com and attempt to resolve the dispute informally for at least 30 days.15.3 Arbitration Arbitration clause is based on your specific risk posture and applicable Delaware law .15.4 VenueSubject to any arbitration provisions, any legal action not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.16. Changes to These TermsWe may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.17. Miscellaneous17.1 Entire AgreementThese Terms, together with our Privacy Policy and any other terms we reference, constitute the entire agreement between you and Theodoxia LLC regarding the Service.17.2 SeverabilityIf any provision is held unenforceable, the remainder of these Terms will remain in effect.17.3 No WaiverOur failure to enforce any provision is not a waiver of that provision.17.4 AssignmentYou may not assign these Terms without our prior written consent.
